AGREEMENT TO TERMS
These Terms and Conditions (“Terms”) govern your use of Social Market’s platform, mobile application, and coverage services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
Social Market is a self-custody crypto wallet platform with market analysis tools and optional subscription-based coverage services. We provide coverage protection, NOT insurance. Our Services are for informational and transactional purposes only and do not constitute financial, investment, or legal advice.
Age Requirement: You must be at least 18 years old to use the Services.
1. COVERAGE SERVICES
1.1 What Coverage Is
Social Market offers coverage protection for eligible losses related to cryptocurrency theft and cybercrime. This is NOT insurance and is not regulated as insurance. Coverage is provided directly by Social Market Inc. subject to these Terms.
1.2 What Is Covered
Your coverage protects against:
- Unauthorized access to your wallet resulting from hacking or security breaches on our platform
- Theft of covered cryptocurrency due to cybercrime or cyber attacks on Social Market’s systems
- Unauthorized transactions resulting from compromised platform security
- Smart contract failures or exploits affecting your assets on the Social Market platform
- Blockchain network issues, consensus failures, or 51% attacks that result in loss of your assets
- Your device being hacked or compromised by malware, viruses, or remote access attacks
- Blockchain infrastructure attacks including validator compromises, network exploits, and protocol vulnerabilities
1.3 What Is NOT Covered
Coverage does NOT apply to losses resulting from:
- Lost private keys, seed phrases, or passwords
- Sending cryptocurrency to the wrong wallet address
- Phishing attacks, social engineering, or scams
- Physical theft of your device
- Unauthorized access due to sharing your credentials
- Market volatility, price changes, or trading losses
- Loss of value due to market fluctuations between incident and claim payment
- Opportunity cost or lost profits from price appreciation
- Acts of war, terrorism, or government seizure
- Any form of human error on your part
- Losses occurring outside the Social Market platform
- Rug pulls or project abandonment by third-party token developers
- Exchange hacks or failures on platforms other than Social Market
1.4 Coverage Limits and Tiers
Coverage is provided in tiers based on your subscription level:
Monthly Plans:
- Tier 1: $9.99/month – $2,500 coverage
- Tier 2: $14.99/month – $5,000 coverage
- Tier 3: $24.99/month – $25,000 coverage
Annual Plans (Save 17%):
- Tier 1: $99.99/year – $2,500 coverage
- Tier 2: $149.99/year – $5,000 coverage
- Tier 3: $249.99/year – $25,000 coverage
No free trials are offered. Coverage begins immediately upon payment.
1.7 Reservation of Rights
We reserve the right to:
- Modify, reduce, or eliminate coverage at any time with 30 days’ notice
- Change eligibility requirements for coverage
- Add exclusions or limitations to coverage
- Deny renewal of coverage for any reason
- Investigate your account activity at any time
- Require additional security measures as a condition of coverage
- Cap total claims paid per user (aggregate limit equals your coverage tier)
1.8 Coverage Modifications
We may modify coverage terms, including:
- Coverage amounts and limits
- Covered and excluded events
- Geographic restrictions
- Eligible cryptocurrency types
- Claims procedures and requirements
Continued use after modification notice constitutes acceptance of new terms. If you do not accept modifications, you must cancel before they take effect.
1.9 Multiple Claims
If you file multiple claims within a 12-month period:
- We may increase your subscription fees at renewal
- We may reduce your coverage tier
- We may require enhanced security measures
- We may terminate your coverage
- Each claim reduces your available coverage for the year (if aggregate limits apply)
1.5 Claims Process
To file a coverage claim:
- Email info@socialmarket.tech within 48 hours of discovering the loss
- Provide your account details, transaction information, and description of the incident
- Submit any requested documentation within 7 days
- We will review and respond within 30 business days
Investigation Process: All claims are subject to comprehensive investigation, which includes:
- Internal security audits and transaction analysis
- Review by third-party financial audit companies specializing in cryptocurrency forensics
- Blockchain analysis using the permanent, immutable record of all transactions
- Verification of wallet addresses, transaction hashes, and on-chain activity
- Review of device logs, IP addresses, and access patterns
- Interviews and sworn statements from claimants
Mandatory Cooperation: By filing a claim, you agree to:
- Provide full, truthful, and complete information about the incident
- Submit to interviews and questioning about the loss
- Provide access to devices, wallets, and accounts for forensic examination
- Sign sworn affidavits and declarations under penalty of perjury
- Authorize us to contact third parties, exchanges, and service providers
- Cooperate with law enforcement investigations if required
- Failure to fully cooperate will result in automatic claim denial
We reserve the right to:
- Investigate all claims thoroughly before approval or denial
- Deny claims that do not meet coverage criteria
- Deny claims where fraud, misrepresentation, or suspicious activity is suspected
- Deny claims where you refuse to cooperate with investigation
- Claw back any claim payments if fraud is discovered after payment
- Refer fraudulent claims to law enforcement partners for criminal investigation
- Require additional documentation, sworn statements, or third-party verification
- Take up to 90 days for complex investigations requiring forensic analysis
Fraud Consequences: If we determine a claim was fraudulent:
- The claim will be denied or payment reversed immediately
- Your account will be permanently terminated without notice
- We will pursue full repayment of any amounts paid plus interest at the maximum legal rate
- We will pursue collection of all legal fees, investigation costs, and expert witness fees
- We will report the fraud to law enforcement agencies and cooperate fully in prosecution
- We may pursue civil and criminal legal action against you
- We may report the fraud to credit bureaus and industry databases
- You will be permanently banned from all Social Market services
Blockchain Immutability: Because blockchain transactions are permanent and transparent, all claims can be independently verified. False claims will be detected and prosecuted.
1.6 Payment of Claims
Valid claims will be paid in USDC to your Social Market crypto wallet within 30 days of approval. We are not obligated to replace lost cryptocurrency with the same asset or pay in any currency other than USDC.
Market Value Lock-In: The value of your claim is calculated and locked at the moment of the covered incident, NOT at the time of claim approval or payment. This means:
- We pay the USD value of your crypto at the time of loss, converted to USDC
- Market increases after the incident do NOT increase your claim payment
- Market decreases after the incident do NOT decrease your claim payment
- The timestamp of the incident (not discovery or filing) determines valuation
- Extended investigation periods do not change the claim amount
- You bear all market risk from incident to payment
Example: If 1 ETH was stolen on January 1 when ETH was worth $3,000, your claim is locked at $3,000 in USDC. If ETH rises to $5,000 by the time we approve your claim, you still receive $3,000 USDC. If ETH falls to $1,000, you still receive $3,000 USDC.
Claims Deadline: All claims must be filed within 48 hours of discovery and no later than 90 days from the date of the incident. Claims filed after 90 days will be automatically denied regardless of merit.
Non-Assignable: Coverage benefits and claim rights are personal to you and cannot be transferred, assigned, or sold to any third party. Any attempted assignment is void.
2. SUBSCRIPTION TERMS
2.1 Billing
Subscriptions automatically renew unless canceled. You authorize us to charge your payment method on a recurring basis. By subscribing, you agree to pay all charges at the current rates.
No free trials are offered. Coverage begins immediately upon successful payment.
2.2 Cancellation
You may cancel anytime through your account settings. Cancellation takes effect at the end of your current billing period. No refunds for partial periods or any reason.
2.3 Price Changes
We may change subscription fees with 30 days’ notice. Continued use after price changes constitutes acceptance.
3. USER RESPONSIBILITIES
3.1 Your Representations and Warranties
By using the Services and subscribing to coverage, you represent, warrant, and covenant that:
- All information you provide is true, accurate, complete, and not misleading
- You are the legitimate owner of all cryptocurrency assets in your Social Market wallet
- Your cryptocurrency was obtained through legal means
- You are not using the Services to launder money, evade taxes, or conduct illegal activity
- You have not misrepresented your identity, location, or jurisdiction
- You understand that making false statements to obtain coverage constitutes fraud
- You acknowledge that fraud may result in criminal prosecution
- You are not subject to sanctions, embargoes, or government restrictions
- You have the legal capacity and authority to enter into these Terms
Breach of Warranties: Any breach of these representations and warranties:
- Voids all coverage immediately and retroactively
- Results in forfeiture of all paid subscription fees without refund
- Results in automatic denial of any pending or future claims
- May result in account termination and legal action
- May be reported to law enforcement
3.2 Ongoing Obligations
You agree to:
- Provide accurate, complete, and current information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Not share your account access with others
- Report security incidents immediately
- Keep your email address current for coverage and claims purposes
- Maintain access to your Social Market crypto wallet for USDC claim payments
3.3 Material Misrepresentation
Any material misrepresentation or omission of fact in your application, account information, or claim submission:
- Voids coverage from inception (as if it never existed)
- Results in forfeiture of all subscription fees paid
- Requires immediate repayment of any claims paid
- May result in criminal fraud charges
3.4 Duty to Mitigate
You have a duty to take reasonable steps to prevent and minimize losses, including:
- Implementing reasonable security measures
- Reporting suspected security issues immediately
- Cooperating with recovery efforts
- Not taking actions that increase the amount of loss
Failure to mitigate damages may reduce or eliminate claim payments.
3.5 Subrogation Rights
Upon paying a claim, we are automatically subrogated to all your rights of recovery against any third party. This means:
- We inherit your right to sue or pursue the party responsible for your loss
- You must cooperate with our recovery efforts
- You cannot settle with third parties without our consent
- Any recovery we obtain reduces future coverage obligations
- You must reimburse us from any third-party recoveries you receive
You are solely responsible for:
- Securing your private keys and seed phrases
- Verifying wallet addresses before transactions
- Protecting your devices from malware and unauthorized access
- Any cryptocurrency transactions you initiate
4. PROHIBITED ACTIVITIES
4.1 Prohibited Uses
You may NOT:
- Use the Services for money laundering, terrorism financing, sanctions evasion, or illegal activities
- Engage in market manipulation, pump-and-dump schemes, wash trading, or insider trading
- Spread false or misleading market information
- Use unauthorized bots, scrapers, or automated tools
- Attempt to hack, reverse engineer, or exploit the platform
- Create fake accounts or impersonate others
- Provide false information to obtain coverage
- Use the Services to promote scams, unlicensed gambling, or illegal content
- Systematically collect user data without permission
- Interfere with the platform’s operation or other users’ access
- File false, exaggerated, or fraudulent claims
- Collude with others to file coordinated claims
- Stage losses or create fake incidents to trigger coverage
- Fail to report known security vulnerabilities
- Use the Services while located in prohibited jurisdictions
- Circumvent geographic, identity, or access restrictions
- Transfer, sell, or share your account credentials
- Use VPNs or proxy services to hide your true location (if restricted)
Violation of these prohibitions will result in immediate account termination and may result in legal action.
4.2 Consequences of Violations
Any violation of prohibited activities results in:
- Immediate account suspension or termination
- Forfeiture of all coverage and subscription fees without refund
- Denial of all pending and future claims
- Potential civil liability for damages caused
- Potential criminal referral to law enforcement
- Being banned from all Social Market services permanently
5. INTELLECTUAL PROPERTY
All platform content, software, designs, trademarks, and materials are owned by Social Market Inc. or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes only.
You may NOT:
- Copy, modify, or distribute our software or content
- Reverse engineer our platform
- Use our trademarks without permission
- Create derivative works
6. USER DATA AND PRIVACY
We collect and process your data according to our Privacy Policy at https://socialmarket.tech/privacy-policy/. By using the Services, you agree to our data practices.
Data Storage: Services are hosted in the United States. By using our platform, you consent to data transfer and processing in the US.
Data Security: While we implement security measures, you acknowledge that no system is 100% secure. We are not liable for unauthorized data access beyond our reasonable control.
Backup Responsibility: You are solely responsible for backing up your private keys and wallet data. We do not store your private keys.
6.1 Know Your Customer (KYC) and Anti-Money Laundering (AML)
We reserve the right to require identity verification at any time, including:
- Government-issued photo ID
- Proof of address
- Selfie verification
- Enhanced due diligence for high-value claims
- Source of funds documentation
You agree that:
- We may deny service if you refuse to provide requested verification
- We may report suspicious activity to FinCEN, law enforcement, or regulators
- We comply with applicable sanctions lists (OFAC, UN, EU)
- Coverage may be denied if you cannot verify your identity or funds source
- We may freeze accounts pending verification completion
Failure to comply with verification requests within 7 days results in automatic account termination.
7. DISCLAIMERS
COVERAGE IS NOT INSURANCE. Social Market provides coverage directly and is not an insurance company.
NO INVESTMENT ADVICE. We provide market data and analysis tools for informational purposes only. This is not financial, investment, tax, or legal advice.
AS-IS SERVICE. The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
- Accuracy of market data
CRYPTO RISKS. Cryptocurrency trading involves substantial risk of loss. Digital assets are volatile and may lose value. You acknowledge these risks and accept that claim values are locked at the moment of incident, not payment.
NO MARKET PROTECTION. We do not protect against market volatility or price changes. Claims are valued at the time of the covered incident, and market fluctuations afterward do not affect claim amounts.
NO GUARANTEES. We do not guarantee:
- Platform availability or uptime
- Transaction speed or success
- Protection against all security threats
- Blockchain network performance
- Market data accuracy
8. LIMITATIONS OF LIABILITY
MAXIMUM LIABILITY: Our total liability for any claim is limited to the lesser of:
- Amounts you paid us in the 6 months prior to the claim, OR
- $100.00 USD
EXCLUDED DAMAGES: We are NOT liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, revenue, or data
- Business interruption
- Cryptocurrency price fluctuations
- Loss of private keys or seed phrases
- Unauthorized transactions due to your negligence
- Third-party actions or services
- Force majeure events
COVERAGE LIMIT: Coverage claims are limited to your purchased coverage tier maximum. No liability exists beyond the coverage amount.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Social Market Inc., its officers, directors, employees, and agents from all claims, damages, losses, and expenses (including attorney fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws
- Your violation of third-party rights
- Your negligence or misconduct
- Claims related to your coverage if obtained through fraud or misrepresentation
9.1 Setoff and Recoupment
We have the right to offset any amounts owed to you (including claim payments) against any amounts you owe us (including subscription fees, investigation costs, or fraudulent claim recoveries). We may withhold payments or deduct from your wallet balance without separate notice.
9.2 Attorney Fees and Costs
If we prevail in any legal action against you, you agree to pay:
- All attorney fees and legal costs (not just “reasonable” fees – actual fees incurred)
- Expert witness fees
- Investigation and forensic analysis costs
- Court costs and filing fees
- Collection agency fees
- Interest on all amounts at the maximum legal rate
This applies to any dispute, including:
- Fraud investigations
- Claim denials
- Breach of contract
- Intellectual property violations
- Terms of Service violations
10. DISPUTE RESOLUTION
10.1 Governing Law
These Terms are governed by Delaware law, without regard to conflict of law principles.
10.2 Informal Resolution
Before initiating arbitration, parties agree to negotiate informally for 30 days.
10.3 Binding Arbitration
YOU WAIVE YOUR RIGHT TO JURY TRIAL AND CLASS ACTION.
Disputes will be resolved through binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration will take place in Kent County, Delaware.
Exceptions: The following may be litigated in court:
- Intellectual property disputes
- Theft or unauthorized use claims
- Injunctive relief requests
10.4 Class Action Waiver
No arbitration or dispute may proceed as a class action, consolidated action, or representative proceeding.
10.5 Time Limit
Claims must be brought within 1 year of the cause of action.
11. TERMINATION
11.1 Our Right to Terminate
We may suspend or terminate your account immediately without notice for:
- Violation of these Terms
- Suspected fraud or illegal activity
- Non-payment
- Any reason or no reason at our discretion
11.2 Effect of Termination
Upon termination:
- Your coverage ends immediately with no pro-rata refund
- All pending claims are automatically denied unless already approved
- You must stop using the Services immediately
- You remain liable for all obligations incurred prior to termination
- All payment obligations become immediately due
- We may delete your account data after 90 days
- We may retain data necessary for legal compliance, fraud prevention, or dispute resolution
Survival of Terms: The following sections survive termination indefinitely:
- Intellectual Property Rights
- Disclaimers
- Limitations of Liability
- Indemnification (including attorney fees)
- Dispute Resolution and Arbitration
- Subrogation Rights
- Fraud Investigation Rights
- Payment Obligations
- Confidentiality Obligations
11.3 No New Accounts
If we terminate your account for cause:
- You may not create a new account under any name (real, fake, or borrowed)
- You may not use someone else’s account to access Services
- Attempting to circumvent termination will result in permanent ban and legal action
- We may pursue injunctive relief to prevent further access
12. THIRD-PARTY SERVICES
The Services may contain links to third-party websites, applications, or services. We do not endorse, control, or assume responsibility for third-party content or services. Use third-party services at your own risk.
Third-party transactions are between you and the third party. We have no liability for third-party products, services, or content.
13. PAYMENT METHODS
We accept:
- Visa, Mastercard, American Express, Discover
- PayPal
- Bitcoin (BTC)
- Ethereum (ETH)
- USDC
All payments are in USD equivalent. You agree to provide current, accurate payment information and promptly update payment details as needed.
Strict No Refunds Policy: All subscription fees are non-refundable for any reason, including:
- Cancellation before the end of billing period
- Dissatisfaction with services
- Change of mind
- Account termination
- Denied claims
- Unused coverage
- Any other circumstance
Once payment is processed, it will not be refunded under any circumstances except as required by law.
14. MODIFICATIONS
We may update these Terms at any time. Changes become effective upon posting or email notification to your registered address. Continued use after changes constitutes acceptance.
Material Changes: For significant changes, we will provide 30 days’ notice.
15. ELECTRONIC COMMUNICATIONS
You consent to receive electronic communications from us. All agreements, notices, and disclosures provided electronically satisfy legal requirements for written communication.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms constitute the complete agreement between you and Social Market Inc.
16.2 Severability
If any provision is unenforceable, the remaining provisions remain in effect.
16.3 No Waiver
Our failure to enforce any right does not waive that right.
16.4 Assignment
We may assign our rights and obligations. You may not assign without our consent.
16.5 No Agency
No agency, partnership, or employment relationship exists between you and Social Market.

18. ACKNOWLEDGMENTS AND WAIVERS
By accepting these Terms and using the Services, you explicitly acknowledge and agree that:
18.1 Coverage Understanding
- Coverage is NOT insurance and is not regulated as insurance
- Social Market has sole discretion to approve or deny claims
- Coverage has specific exclusions and limitations
- No coverage exists for human error, lost keys, or wrong addresses
- All claims are subject to investigation and verification
- Fraudulent claims will be prosecuted
- Claim values are locked at the incident timestamp, not payment date
- Market fluctuations after the incident do not affect claim amounts
- We do not cover opportunity cost or lost appreciation
18.2 Risk Acknowledgment
- Cryptocurrency transactions carry inherent risks
- Market volatility can result in total loss of assets
- Blockchain transactions are irreversible
- You are responsible for securing your private keys
- No system is 100% secure from all threats
- Past coverage does not guarantee future coverage
18.3 Legal Waivers
- You waive the right to jury trial (arbitration mandatory)
- You waive the right to class action lawsuits
- You waive the right to consequential damages
- You accept limitation of liability to coverage amounts or $100
- You accept mandatory arbitration in Delaware
- You accept that these Terms can be modified with notice
18.4 Investigation Rights
- We have unlimited right to investigate claims
- We can use forensic experts and blockchain analysis
- We can require sworn statements and device access
- We can claw back fraudulent claim payments
- We can report fraud to law enforcement
- We can ban users permanently for violations
18.5 Financial Understanding
- All fees are non-refundable for any reason
- No free trials are offered
- Subscriptions auto-renew until canceled
- Cancellation does not trigger refunds
- We can change prices with 30 days notice
- Claims are paid in USDC only, not original assets
- Claim value is locked at the moment of the incident
- Investigation delays do not increase claim value
- You bear all market risk during the claims process
